GENERAL CONDITIONS OF SUBSCRIPTION AND USE OF THE KANGARUU SaaS SOLUTION

Version: 26 October 2026 · Publisher: Tooap SARL, SARL with a share capital of €2,000, 18 chemin du Pérollier, 69130 Écully, France, SIREN 878 195 130 (Lyon) · Contact: contact form. This is a translation; the French version, available on the French site, prevails in case of discrepancy.

Article 1 — Purpose

These terms of service govern access to and use of the Kangaruu service and the subscription to its plans. Kangaruu is online software for logging and validating the time spent on projects, keeping the evidence of that activity, and managing ideas, challenges and partners.

Kangaruu does not constitute tax advice, legal advice, an accounting engagement or a certification that a project or expense is eligible for any tax credit or grant.

Article 2 — Definitions

  • Customer: a company or professional who opens an account or subscribes to a plan.
  • User: a person invited by the Customer to log or view time, ideas or projects.
  • Advisor: the Customer’s consultant, invited by the Customer with read-only access.
  • Service: the website, application and related services operated by the Publisher.
  • Customer Data: time entries, absences, projects, ideas, partners, imported files and information provided by the Customer and its Users.

Article 3 — Account, Users and Advisor

Opening an account requires accurate, up-to-date and complete information. The Customer accepts these terms and the applicable pricing electronically; the version and date of this acceptance are kept by the Publisher and are equivalent to a signature.

The Customer invites its Users and, if it wishes, its Advisor. It is responsible for the access it grants, for withdrawing it and for any use made from its account. Invitation links are personal. The Publisher may suspend an account in case of fraudulent use, security risk, unlawful content or breach of these terms.

Article 4 — Plans

Free trial. The free trial lasts 15 days and requires no credit card. At its end, the Customer subscribes to a plan or exports its data.

Subscriptions. Subscriptions are billed per User who logs time and per month. Their content and price are those shown on the pricing page on the day of subscription. Read access for the Advisor is free.

Article 5 — Data imported by the Customer

The Customer remains responsible for the lawfulness of the files it imports, in particular payroll data used to compute hourly costs and activity history (for example Git), and for informing its employees about these processing operations. The Publisher may refuse a file that is clearly excessive, unreadable, infected or unrelated to the Service.

Article 6 — Personal data and confidentiality

Personal data processing is described in the privacy policy. The Publisher implements reasonable security measures, including access control, encryption in transit and encrypted backups. As no system connected to the Internet is risk-free, the Customer regularly exports its validated timesheets.

Article 7 — Price, payment and termination

Prices are stated in euros excluding taxes; applicable VAT is added at the current rate. Payment is due under the conditions presented at subscription.

The subscription renews for the period chosen at subscription. The Customer may end it at any time from its account or using the contact form; termination takes effect at the end of the current period, with no refund of the period started, unless mandatory provisions provide otherwise. Users added during a period are billed in addition, at the current subscription price.

Article 8 — Right of withdrawal

Where the Customer is a consumer or benefits from a legal right of withdrawal, the applicable legal rules are provided before subscription. Where the Customer acts as a professional, the right of withdrawal applies only in the cases provided for by mandatory provisions.

Article 9 — Obligations and limits of the Publisher

The Publisher uses reasonable means to provide a service consistent with its description. Kangaruu guarantees neither that a tax credit or grant will be obtained, nor that time or expenses will be accepted by the authorities, nor the absence of an audit or adjustment. Time, costs and reports depend on the information entered and validated by the Customer and its Users. The Publisher may change features, import formats and the interface to reflect regulatory, technical or security changes.

Article 10 — Availability

The Service is available continuously, except for maintenance, incidents or force majeure. The Publisher endeavours to inform Customers of scheduled interruptions.

Article 11 — Customer responsibility

The Customer is responsible for the accuracy of the time logged and validated, for its declarations and decisions and for keeping its supporting documents. The Customer must not use the Service to transmit third-party data without authorisation, bypass a security measure, introduce malicious code or attempt to access other customers’ data.

Article 12 — Intellectual property

The Service, its code, interface, trademarks, texts and graphic elements remain the property of the Publisher or its licensors. The Customer has a personal, non-exclusive and non-transferable right of use for the duration of its subscription. Customer Data remains the Customer’s property; the Customer grants the Publisher only the rights needed to provide the Service.

Article 13 — Reversibility

The Customer can export its data at any time, in particular its timesheets in Excel and PDF. At the end of the subscription, its data is kept and then deleted under the conditions of the privacy policy.

Article 14 — Support, evidence and retention

The level of support depends on the plan. Any response times shown are targets, not a guarantee of resolution, unless agreed separately in writing. Connection logs, acceptances, versions of these terms, validations, payments and files may be kept to prove the formation and performance of the contract, within the limits of the privacy policy.

Article 15 — Changes to these terms

The Publisher may change these terms to reflect legal, regulatory, technical or commercial developments. The Customer is informed of any substantial change before it takes effect and may terminate its subscription before that date if it refuses it.

Article 16 — Claims and disputes

Any claim is sent using the contact form, with the account reference. The parties seek an amicable solution before any proceedings. Governing law: French law. Jurisdiction: the courts of Lyon, where the Publisher has its registered office, have sole jurisdiction for any dispute relating to the formation, interpretation or performance of these terms, including in case of multiple defendants or third-party claims. This does not apply to a Customer acting as a consumer, who keeps the benefit of the mandatory rules of jurisdiction of its place of residence.
